Terms & Conditions of Startup Island TAIWAN – Silicon Valley

Welcome to SIT Silicon Valley. By becoming a member or using our workspace, you agree to comply with the following Terms and Conditions, which govern your access to and use of our facilities. These terms are designed to create a professional, collaborative, and respectful environment for all community members.

1. Membership

1.1 Membership Term & Renewal

Membership at SIT Silicon Valley is granted on a three-month basis. To continue using our workspace beyond this period, members must reapply at the end of each term. Approval for one term does not guarantee renewal.

1.2 Membership Requirements

To be considered for membership, applicants must provide:

  • Proof of insurance (as required by the landlord)
  • Legal ability to work in the U.S. (We do not accept members on L-1 visas due to legal risks)
  • A business plan outlining their startup or business activities

SIT Silicon Valley reserves the right to approve or deny membership at its sole discretion.

1.3 Guest Policy

For security and community integrity, unapproved guests are not permitted. Any guest visits must be pre-approved by SIT Silicon Valley management.

1.4 Use of Facilities

  • Members are granted access to SIT Silicon Valley’s workspace, common areas, and amenities during business hours (Monday – Friday, 9:00 AM – 5:00 PM).
  • Drinks and snacks are available and intended for on-site consumption only.
  • Members may not register their company using SIT Silicon Valley’s address.
  • No pets are allowed inside the workspace.

2. CODE OF CONDUCT & FACILITY USAGE

2.1 Professional Conduct

SIT Silicon Valley is a shared workspace, and all members must act in a professional, respectful, and responsible manner. Any behavior that disrupts the work environment, violates legal or ethical standards, or endangers others may result in immediate termination of membership.

2.2 Security & Property Responsibility

  • SIT Silicon Valley is not responsible for lost, stolen, or damaged personal property. Members should secure their belongings at all times.
  • Members are responsible for any lost keys or damages to office equipment or property. Any costs incurred due to loss or damage will be passed on to the responsible member.

2.3 Fair Use of Resources

  • Members are expected to use internet, office supplies, and communal areas fairly and responsibly.
  • Excessive or disruptive use of resources may result in access restrictions.

2.4 Confidentiality & Privacy

  • Members must respect the confidentiality of discussions and proprietary information shared within the workspace.
  • Random filming is prohibited. Any on-site filming or photography requires prior approval from SIT Silicon Valley management.
  • Security cameras are in use throughout the premises, except in restrooms and other private areas.

3. LEGAL RESPONSIBILITIES & LIABILITY

3.1 Insurance & Liability

  • Members must carry their own insurance and provide proof upon request. SIT Silicon Valley is not liable for personal injuries, accidents, or damages occurring on the premises.

3.2 Legal Compliance

  • All members must comply with local, state, and federal laws while using the space.
  • Members must have the legal right to work in the U.S. and may not use SIT Silicon Valley space or resources for activities that violate any laws (local and federal, inclusive of immigration).

4. MEMBERSHIP TERMINATION

4.1 Grounds for Immediate Termination

Startup Island Taiwan Silicon Valley Hub reserves the right to terminate any membership immediately, without prior notice, for any of the following reasons:
  • Unacceptable Behavior: Engaging in conduct that disrupts the work environment or endangers others, including but not limited to:
  • Harassment: Any form of harassment, including sexual harassment, unwelcome advances, or inappropriate physical contact.
  • Discrimination: Actions or language that discriminate based on race, gender, religion, nationality, disability, or sexual orientation.
  • Offensive Material: Distribution or display of materials that are sexually explicit, defamatory, obscene, or otherwise deemed inappropriate.
  • Violent Behavior: Threats or acts of violence, intimidation, or any behavior that poses a safety risk.
  • Substance Abuse: Use or possession of illegal drugs or being under the influence of alcohol or drugs while on the premises.
  • Legal Violations: Engaging in activities that are illegal under local, state, or federal law, including but not limited to the below (NOTE: Startup Island Taiwan Silicon Valley Hub policy mandates the immediate reporting of any illegal activity to the appropriate law enforcement agency without prior notice):
    • Intellectual Property Infringement: Unauthorized use or distribution of copyrighted materials.
    • Fraudulent Activities: Engaging in deceitful practices or misrepresentation.
    • Unauthorized Business Operations: Conducting business activities that are not disclosed or violate legal regulations.
    • Non-Compliance with Policies: Failure to adhere to Startup Island Taiwan Silicon Valley Hub’s Terms and Conditions, including but not limited to:
    • Unauthorized Access: Allowing unapproved guests into the workspace or sharing access credentials.
    • Misuse of Facilities: Using the workspace for purposes other than those intended or causing damage to property.

4.2 Procedure for Termination

In the event of a membership termination:
  • Notification: The member will be informed of the termination and the reasons for such action.
  • Immediate Revocation: Access to the workspace and all associated services will be revoked immediately upon termination, and the deposit will be subject to forfeiture.
  • Personal Belongings: The member must remove all personal belongings from the premises within a specified timeframe, as determined by Startup Island Taiwan Silicon Valley Hub management.
  • Financial Obligations: Any outstanding fees or dues must be settled promptly.
  • Legal Costs: If Startup Island Taiwan Silicon Valley Hub incurs legal costs due to the member’s actions or in pursuing legal action against the member, the member shall be responsible for covering these costs in full.

5. GENERAL PROVISIONS

5.1 Amendments

SIT Silicon Valley reserves the right to modify these Terms and Conditions at any time. Members will be notified of any significant changes.

5.2 Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts located in Santa Clara County, California.
